With corporate law being a central pillar to our practice, we advise domestic and international clients across industries on all legal aspects of ordinary corporate transactions including, inter alia, shareholder arrangements, management incentivisation structures, division of responsibilities and authorities and corporate governance. Further, in addition to strategic corporate transactions, such as M&A and joint ventures, our services extend to key one-off transactions such as corporate reorganisations, corporate financings including issuances of shares, debt and other securities, private to public conversions, listings, redomiciliations and strike-offs and dissolutions of companies.

In offering day-to-day support to corporate clients, we also provide a full range of services on commercial contracts including, inter alia, sale and purchase of movable assets and immovable property, cooperation agreements, service level agreements, agency and distributorship agreements, assignment, novation, amendment and restatement agreements, as well as general contract law advice.

Our Corporate + Commercial practice has been recognised and ranked since 2023 in the relevant category of The Legal 500 international rankings for Cyprus and the team as a whole has been described by clients as ‘nothing short of exceptional’.

Our corporate team has also authored the Legal 500 Private Equity Comparative Guide and the 2025 Mondaq Tech M&A Guide for Cyprus.

Notable work experience includes:

• representing Globeducate, a portfolio group of companies of Providence and Wendel, in its acquisition of various K-12 private institutes in Cyprus and providing ongoing support on the group’s expansion activities in Cyprus
• advising Pascal in a landmark greenfield development of a state-of-the-art campus for PASCAL Private Schools Lemesos
• supporting a private equity firm in its divestment of approximately 50% of a group of portfolio companies valued at over €1bn
• advising a US global private equity firm and an asset management company on its high-value equity investment in eastern European commercial real estate
• representing an international professional investment firm on their potential acquisitions of domestic NPL and REO portfolio(s) from, in each case, domestic banks
• regularly advising the controlling shareholders of an Indian listed conglomerate on the Cypriot law aspects of their multi-billion US$ listed corporate bonds
• offering Cyprus law corporate and commercial advice to a number of blue-chip clients including a multinational consumer goods company (on a retainer basis), global real estate company, leading European healthcare providers in relation to various corporate and commercial matters (including joint ventures or mergers, distribution arrangements, employment arrangements, real estate, customer contract)
• advising various global gaming and technology companies on corporate reorganisations, corporate spin-offs, partial exits and bolt-on acquisitions
• conducting a consumer protection audit for the Cyprus arm of a global consumer goods company
• advising various corporate service providers in connection to corporate matters including incorporations and corporate governance, advice on fiduciary duties and redomiciliations (in and out of Cyprus)
